Mission and Constitution

 

ARTICLE 1: NAME

The name of the organization is the New Jersey Association of Colleges and Employers.

ARTICLE 2: PURPOSE

The purpose of the New Jersey Association of Colleges and Employers is to facilitate the career development, placement and recruitment of graduates of post-secondary educational institutions in the state.

ARTICLE 3: TERM

The term of existence of the New Jersey Association of Colleges and Employers is perpetual.

ARTICLE 4: MEMBERSHIP

Membership shall consist of educator members, employer members, honorary members, and retired members as defined in the by-laws.

ARTICLE 5: OFFICERS

The officers of the New Jersey Association of Colleges and Employers shall be:

President
President-Elect
Immediate Past President
Secretary
Treasurer
College Representative
Employer Representative

Terms of office and duties are described in the by-laws of the association.

ARTICLE 6: ORGANIZATION, OPERATION AND DISSOLUTION

The New Jersey Association of Colleges and Employers shall be operated exclusively for educational purposes. No part of its net earning shall injure to the benefit of any private shareholder, director, individual or parent organization. The organization shall not participate or intervene in any political campaign on behalf of or in any political campaign on behalf of or in opposition to any candidate for public office. In the case of the dissolution of the New Jersey Association Colleges and Employers, its assets will be distributed, by member of the Executive Board, solely to corporations, funds or foundations which are organized and operated in the manner, and subject to the limitations, contained in this paragraph.

 


BY-LAWS

NEW JERSEY ASSOCIATION OF COLLEGES AND EMPLOYERS

ARTICLE 1: EXECUTIVE BOARD

Section 1
The Executive Board shall have administrative responsibility for all policies of the organization. The Executive Board shall be made up of the following:

President
President-Elect
Immediate Past President
Secretary
Treasurer
College Representative
Employer Representative


Section 2
Members of the Executive Board shall be elected by the membership and shall assume office immediately following the annual spring meeting. The election procedures shall be determined, with the approval of the Executive Board, and carried out by the Nominations Committee.

The College Representative and the Employer Representative shall be elected in alternate years, each to serve a two-year term.

Section 3
Each member of the Executive Board shall be entitled to one vote.

Section 4
Each member of the Executive Board shall have those duties and responsibilities as stated below in Article 2, Section 1.

Section 5
If a position held by a member of the Executive Board is vacated for any reason, the President, with the approval of the Executive Board, shall appoint the President-Elect to fill the unexpired term.

Section 6
If the President shall vacate the office or be unable to serve, the Executive Board shall appoint the Past President to fill the unexpired term of the President. The Executive Board shall also appoint a previous Past President to fill the unexpired term of the current Past President.

Section 7
The Executive Board, acting through the President, shall arrange for an annual audit of the Treasurer's books.

Section 8
A majority of the Executive Board shall constitute a quorum. A majority of this quorum shall be sufficient to act.

Section 9
If the position of President-Elect becomes vacant for any reason, the Executive Board shall appoint a replacement who shall serve until a successor is elected at the next regular meeting or by special election, the necessity of which is to be determined by the Executive Board.

Section 10
Regular meetings of the Executive Board shall be held immediately after the annual spring meeting of the association and at other times as established by the Executive Board.


ARTICLE 2: OFFICERS
Section 1: Duties of Officers

A. President
The President shall preside at all the meetings of the New Jersey Association of Colleges and Employers and the Executive Board, and shall be a member ex-officio, with the right to vote, of all committees except the Nominating Committee. The President shall communicate with the membership on such matters as he or she deems proper to promote the goals of the association. The President shall have oversight responsibility for the NJACE website, assuring that accurate and up-to-date information is maintained in an appropriate manner as determined by the Executive Board. The President shall also satisfy the other duties and responsibilities outlined elsewhere in these by-laws.

B. President-Elect
The President-Elect, if for any reason the President is unable to do so, shall perform the duties of the President. He or she shall also serve as Chair of the Program Committee. The President-Elect shall serve as Editor of the on-line NJACE newsletter to be published on the NJACE website bi-monthly. In the position as Editor, the President-Elect shall solicit appropriate articles, conduct interviews, write, edit and publish the newsletter. The position carries with it a three-year obligation to the Executive Board. The President-Elect holds office for one year, after which he or she is automatically elevated to the position of the President. He or she then serves a President for one year, followed by a year as Immediate Past President.

C. Immediate Past President
The Immediate Past President shall serve as a voting member of the Executive Board and as an advisor to the Executive Board in planning and policy formulation. The Immediate Past President shall serve as Chair of the Program Committee and shall coordinate all aspects of the organization's conferences and programs. The Immediate Past President shall send a letter each spring to the membership, inviting three members in good standing to form a Nominating Committee. The Nominating Committee shall send a notice to the membership seeking nominations for open board positions, and then coordinate the annual election. The election shall be conducted during the spring conference or through an email vote, or through an on-line vote.

D. Secretary
The Secretary shall give notice of and attend all meetings of the Executive Board and the membership, record and file such record of these proceedings, conduct correspondence of the Executive Board, and carry into execution all orders, votes and resolutions not otherwise assigned. On an annual basis, the Secretary is responsible for maintaining and updating the membership list, handling the membership mailing each summer, publishing the membership directory each fall, and processing mailings and registrations prior to each conference.

E. Treasurer
The Treasurer will collect all dues, maintain a membership list, and keep an account of all monies received and expended by the association. He or she shall deposit all monies received in a bank account approved by the Executive Board and report on this account at the annual spring meeting or at any other request of the President. All funds, books, and vouchers shall be a t all times subject to the inspection of the President or designee from the Executive Board.

F. College Representative
The College Representative serves on the Executive Board to ensure representation of the interests of educational members in matter relating to the New Jersey Association of Colleges and Employers. He or she acts as chief liaison to college members to share concerns and ideas with the Executive Board. The College Representative also serves as co-chair of the Membership Committee and is responsible for developing and implementing strategies for recruiting college members. He or she also performs other duties as agreed upon by the Executive Board.

G. Employer Representative
The Employer Representative serves on the Executive Board to ensure representation of the interests of employer members in matters relating to the New Jersey Association of Colleges and Employers. He or she acts as chief liaison to employer members to share concerns and ideas with the Executive Board. The Employer Representative also serves as co-chair of the Membership Committee and is responsible for developing and implementing strategies for recruiting employer members. He or she also performs other duties as agreed upon by the Executive Board.

Section 2
The officers shall be elected by the membership and assume in a manner determined by the Nominating Committee and approved by the Executive Board. The terms of office of President, President-Elect and Immediate Past President shall be one year. The succession from President-Elect to Immediate Past President shall be automatic without further election. The other officers shall serve two-year terms.

Section 3
No officer shall be elected to serve more than two consecutive terms in the same office.

Section 4
The College Representative shall be an educational member and the Employer Representative shall be an employer member (as described in Article 3, Section 1). All other offices are open to any regular member.


ARTICLE 3: MEMBERSHIP

Section 1: Regular Membership

A. Educational Membership
Educational membership shall be open to graduate students and employees of New Jersey post-secondary institutions, who are principally engaged in or have a commitment to career counseling and placement at these institutions.

B. Employer Membership
Employer membership shall be open to persons principally engaged in the recruitment and/or career development of personnel from the educational institutions described in Article 3, Section 1. These individuals must be employees of firms or organizations which select and train graduates from colleges and universities in the New Jersey region for employment within their organization only.

Section 2: Honorary Membership
A. A person no longer eligible for educational or employer membership who has contributed to the field of personnel or placement, and to the New Jersey Association of Colleges and Employers, may apply for and be elected to honorary membership by the Executive Board. (This will be done by submitting a statement indicating the nature of the interest in the association.)

B. Honorary members shall enjoy all the privileges of regular membership, including voting and serving on committees. Honorary members shall pay annual dues and registration fees. They may not be officers nor serve on the Executive Board.

C. Any honorary member who subsequently becomes eligible for regular membership must, in order to assume that membership, temporarily relinquish honorary membership.

Section 3: Retired Membership
Members of the New Jersey Association of Colleges and Employers who have retired from their positions with an educational institution or a company/employer may apply for retired membership. Such members enjoy all the privileges of honorary membership with the exception of paying dues and voting.

Section 4: Conditions of Membership
A. Request for initial membership, requests for a change from one type of membership to another, or notification of a significant change of duties and/or employer shall be made to the Treasurer, who shall provide any required forms.

B. If for whatever reason a regular member is no longer qualified for membership under the terms of Article 3, Section 1, that membership will automatically terminate at the end of the fiscal year, unless exception is approved by the Executive Board.

C. Membership in the New Jersey Association of Colleges and Employers is expressly conditioned upon compliance by all members with the purposes of the New Jersey Association of Colleges and Employers set forth in its constitution and by-laws.

Any member who fails to comply strictly with the purpose of the New Jersey Association of Colleges and Employers may be placed on probation, suspended from membership. The power to enforce this provision is vested in the Executive Board, which shall take action by vote of the majority of the Executive Board.

A decision by the Executive Board to exclude a member from membership in the New Jersey Association of Colleges and Employers or to place a member on probation or suspension may be appealed to the membership at the next annual spring meeting. A two-thirds vote of all members present shall be required to reverse a decision of the Executive Board.

Section 5: Election to Membership
The President, or designee, shall receive, review and take appropriate action on all applications for membership, reporting the same to the Executive Board.


ARTICLE 4: COMMITTEES
Section 1: Standing Committees
The Program Committee will be chaired by the Immediate Past President. The Membership Committee will be co-chaired by the Employer Representative and the College Representative. The Nominating Committee will be created through solicitations of the membership by the Immediate Past President

Section 2: Establishment of Standing and Ad-Hoc Committees
The Executive Board shall have the power to establish standing committees and ad-hoc committees as deemed necessary to promote the goals of the organization.

The addition of standing committees to these by-laws shall be carried out by the procedures determined by the Executive Board.


ARTICLE 5: ANNUAL POSITIONS
Section 1: Web Manager
The paid position of Web Manager shall be instituted and the position filled by unanimous agreement of the Executive Board and arranged through a Letter of Agreement signed by the President and the Web Manager. The position shall be from July 1 - June 30th. The salary is to be determined by the Executive Board but not to exceed $1,500 per anum without discussion and general agreement among the membership.

ARTICLE 6: DUES AND FISCAL POLICY

Section 1
Dues shall be determined by the Executive Board. Proposed changes in dues shall be presented to the membership prior to the Executive Board's actions.

Section 2
The fiscal year of the New Jersey Association of Colleges and Employers shall be twelve-month period ending on June 30.

Section 3
A. Dues shall be billed to members at the beginning of the new fiscal year. Membership shall be terminated if payment is not received by September 30.

B. New members shall pay full dues for the fiscal period during which they are admitted.


ARTICLE 7: AMENDMENTS

Section 1
Amendments to the constitution of the New Jersey Association of Colleges and Employers shall be recommended by the Executive Board and voted upon by the membership in either of the following ways:

A. The members present at the annual spring meeting may vote, provided that all members have been advised in writing at least thirty days prior to the annual spring meeting. An affirmative vote of two-thirds of the votes cast by those members present or by proxy shall be required for passage.

B. The membership shall be polled by mail. An affirmative vote of two-thirds of the votes cast shall be required by passage provided that at least fifty percent of the members shall have voted in writing.

Section 2
The result of the voting shall be recorded by the Secretary of the Executive Board. The amendments approved shall become effective at the beginning of the next fiscal year or earlier at the direction of the Executive Board.

Section 3
The by-laws may be amended by the same procedure outlined in Article 6, Section 1 except that a simple majority is required.
